Position Overview

HGF is seeking a bright and motivated individual to join our team as Legal Counsel.
Legal Counsel’s primary focus will be drafting, negotiating, and analyzing all manner of contracts and agreements. The successful candidate will also play a crucial role in providing legal counsel and support on a wide range of legal and compliance matters affecting the organization including but not limited to licensing, insurance, intellectual property, nonprofit governance, and data privacy.

HGF’s home office is based in Agawam, MA. Hybrid is preferred, remote candidates will also be considered for this role.

Responsibilities

Responsibilities of this position include, but are not limited to:

  • Draft, review, negotiate, letters of agreement, MOUs, contracts, grants, consulting agreements, and a variety of institutional agreements and legal documents for all departments; identifying risks, liabilities, and rights; proposing alternative structures for prospective transactions as needed.
  • Provide legal counsel and support to senior leaders and colleagues and respond promptly to a wide range of legal requests across the foundation.
  • Maintain familiarity with a broad range of state, federal, and international laws affecting the foundation to ensure compliance and mitigate risk, including but not limited to nonprofit governance, intellectual property, contracts, insurance, marketing, data privacy, children’s advertising and consumer protection, social media, and website terms of use.
  • Review and approve promotional, advertising and marketing materials, including websites, social media, print and digital advertising, and other marketing and promotional materials (including sweepstakes and contests) to ensure compliance with statutory and regulatory requirements.
  • Conduct legal research as necessary.
  • Contract tracking, document archiving and retention for all legal matters.
  • Engage and manage relationships with outside counsel as appropriate.
  • Oversee the licensing of book rights, acquisitions, and permissions for PJ Library® and related programs.

Requirements

  • J.D., bar admission in good standing in state of residence (Massachusetts bar admission preferred)
  • 3 plus years of experience as legal counsel with demonstrated experience drafting and negotiating all manner of agreements, including complex contracts
  • Experience working at a nonprofit, law firm, government agency, or in-house counsel preferred
  • Ability to provide sound legal counsel and business advice to colleagues at all levels, including executive team and senior leaders
  • Exceptional research, analytical, and problem-solving skills, with the ability to think strategically and creatively about legal and business issues
  • Ability to handle multiple assignments simultaneously, with effective resolution of conflicting priorities.
  • Excellent interpersonal skills and ability to positively and successfully manage relationships with a diverse group of stakeholders across the foundation
  • Excellent organizational abilities and attention to detail, and strong follow-through
  • Strong legal research, writing, and communication skills
  • Proficiency with Microsoft Suite, including Excel
  • Previous experience in the publishing industry a plus

Physical Requirements

  • Prolonged periods of sitting at a desk and working on a computer
  • Occasional travel to home office in Agawam if remote

Salary

  • $120,000 to $135,000 annually
